Agricominsa Cleared to Acquire Plásticos Ecuatorianos Assets
Ecuador's competition authority authorized Agricominsa to acquire assets linked to the productive and commercial activities of Plasticos Ecuatorianos S.A. (PESA).
The authorization came from the Comision de Resolucion de Primera Instancia of the Superintendence of Economic Competition.
Transaction Scope
The transaction allows Agricominsa to assume exclusive control of PESA assets and continue the economic activities developed by the operator.
PESA was founded in Guayaquil in 1967 and produces plastic containers and packaging for industrial and mass-consumption markets, nationally and internationally.
Agricominsa manufactures rigid packaging and says it was among Ecuador's top five plastic-packaging manufacturers by kilogram volume in 2025.
Competition Review
The review examined markets tied to:
- Industrial rigid plastic packaging
- Plastic caps
- Single-use plastic products
The authority concluded that the operation does not significantly change market structure, does not create or strengthen a dominant position, and does not materially reduce competition.
Business Implication
The deal consolidates packaging assets in a sector tied to consumer goods, food and beverage supply chains, industrial packaging and regional manufacturing demand.
Because PESA is associated with Tonicorp and Agricominsa already has a regional packaging client base, the transaction is relevant for Ecuador's domestic packaging capacity and supplier concentration.
What to watch
- Whether Agricominsa expands PESA production capacity after closing.
- Whether Tonicorp-linked packaging supply contracts continue unchanged.
- Whether rigid packaging competitors adjust pricing or capacity.
- Whether the authority imposes post-transaction monitoring conditions.
