Ecumar EP to Emerge From Flopec-Astinave Fusion Under 180-Day Transition

Ecuador is consolidating two maritime public companies into a new state-owned enterprise.

El Universo reports that President Daniel Noboa ordered the fusion of EP Flopec and Astilleros Navales Astinave EP. Once the process is completed, Flopec will become Ecuador Maritimo Ecumar EP.

Primicias reports that the first step is for Flopec to absorb Astinave, after which Flopec will be renamed Ecumar.

Primicias reports that the transition period begins from publication of the decree in the Registro Oficial.

During that period, assets, liabilities, rights, obligations, contracts, resources, personnel and other legal relationships will be transferred progressively from Astinave to Flopec.

Business Mandate

El Universo reports that Ecumar's main objective will cover maritime and river transport of hydrocarbons, port logistics, shipbuilding, cabotage, foreign trade and technological innovation.

The decree's listed activities include transport of hydrocarbons and derivatives, storage, distribution, commercialization and supply of hydrocarbons and derivatives, port and maritime infrastructure management, naval construction and repair, fuel and lubricant supply, integrated logistics, fleet administration and offshore maritime services.

Primicias reports that Flopec is responsible for Ecuador's hydrocarbon maritime-transport monopoly. It also transports clean products for the domestic market, performs light-crude cabotage under agreement with Petroecuador, and provides port-agency services for most vessels entering the Esmeraldas maritime terminals.

Astinave is a public company specialized in construction, maintenance and repair of vessels, according to Primicias.

Governance

Primicias reports that Ecumar's board will include the head of the Ministry of Production, Foreign Trade and Investment, a permanent delegate of the President, and the head of the Secretaria General de la Administracion Publica, Planificacion y Gabinete.
